Structure
1. The minimum number of shareholders is one. They can be an individual of any nationality or a corporate body.
2. The minimum number of directors required is one. They can be an individual of any nationality or a corporate body.
3. A secretary is required who must be a Hong Kong company or a Hong Kong resident.
4. Registered address in Hong Kong is required.
5. Director and shareholder can be the same person or the same corporate body.

Shares and Capital Requirements
Usually the authorized share capital of a Hong Kong company is HK$10,000.
No par value or bearer shares are not permitted.

Taxation
A Hong Kong company is legally tax exempt if the entity transact no business in Hong Kong.
Resident Hong Kong companies with local income pay 16.5%.
